Home Professional Network — Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your use of www.homeprofessionalnetwork.com, the HPN member portal, and all related services (together, the "Site" and the "Services"). Home Professional Network ("HPN," "we," "us") is operated by PredictiveSales AI, LLC, 120 E Palmetto Park Rd #205, Boca Raton, FL 33432.

By accessing the Site, submitting a service request, checking a box that references these Terms, applying for membership, or creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

If you accept these Terms on behalf of a business, you represent that you have authority to bind that business.

Members. Contractors who join HPN are also bound by their Membership Agreement or Order Form and, where they use PSAI software, by the PredictiveSales AI Terms and Conditions . If those documents conflict with these Terms, the Membership Agreement or Order Form controls for that Member.

Arbitration notice. Section 15 requires most disputes to be resolved by individual binding arbitration and waives class actions and jury trials. Please read it carefully.

3. HPN's Role

HPN is a referral network, not a contractor. HPN connects Homeowners with independent Member contractors and helps Members refer work to each other. HPN does not perform, supervise, or control any home improvement work.

• Independent businesses. Members are independent businesses, not HPN's employees, agents, or partners. Each Member sets its own prices, schedules, methods, and contract terms.

• Your contract is with the Member. Any estimate, contract, warranty, permit, or payment for work is solely between the Homeowner and the Member. HPN is not a party to it.

• Vetting has limits. HPN reviews applicants against the HPN Standard, which may include licensing, insurance, reviews, complaint history, and [background checks]. These reviews rely in part on information from Members and third parties and reflect a point in time. HPN does not guarantee that any Member is currently licensed, insured, or qualified for a specific job. Homeowners should confirm licensing and insurance before work begins, and may use the Verify a contractor tool.

• No endorsement of a specific outcome. Matching a Homeowner with a Member is not a guarantee of price, quality, timeliness, or results.

4. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Site. The Site is not directed to children under 18.

You must provide accurate, current, and complete information in any Service Request, application, or account, and keep it current. Members are responsible for all activity under their account and must:

1. keep login credentials confidential and limited to their own organization;

2. notify HPN promptly of any suspected unauthorized access; and

3. remain responsible for the acts and omissions of their employees and users.

HPN may verify information you provide and may refuse, suspend, or close any account at its discretion, subject to any Membership Agreement.

5. Homeowner Terms

Free to use. Submitting a Service Request is free and creates no obligation to hire anyone. [Confirm HPN never charges Homeowners.]

How matching works. When you submit a Service Request, HPN sends it to the one Member that holds your Trade in your Market. Your information goes only to that Member unless you are re-matched as described below. If no Member covers your Trade or area, HPN may hold your request and tell you by email or text while it looks for one.

Response times. Members commit to respond within [24 hours / 30 minutes]. If your Member does not respond in that time, HPN may forward your request to an alternate Member and will tell you when it does. Response times are a Member commitment, not a guarantee by HPN.

Accurate requests. Your Service Request must describe a real project at a property you own or are authorized to arrange work for. Do not submit requests for someone else without their permission.

The HPN Promise. Members agree to the HPN Promise, including confirmed appointment windows, written scope and pricing before work starts, and returning to fix work that is not right. The HPN Promise is a condition of Membership that HPN enforces against Members. It is not a warranty, insurance, or guarantee by HPN of any Member's work.

Help when something goes wrong. If you have a problem with a Member, contact HPN at [support email]. HPN will work with you and the Member in good faith to try to resolve it, and may take action against the Member's Membership. HPN is not obligated to pay for, repair, or complete any work, and its involvement does not change the limits in Sections 13 and 14.

Do your own diligence. Before hiring, get a written contract, confirm license and insurance, check permit requirements, and understand payment terms. Never pay in full before work begins.

6. Calls, Texts, and Email

Service messages. When you submit a Service Request, you agree that HPN may contact you by email, phone, and text about that request, including match status, re-matching, and follow-up on your experience. You also agree that the one Member matched to your request may contact you about your project.

Marketing messages. If you check the consent box on our form, you authorize HPN to send marketing calls and texts to the number you provide, including by autodialer or prerecorded message. Consent is not required to use the Site or to buy any goods or services. [Decide whether this consent also names the matched Member; see Reviewer Notes.]

Opting out. You may opt out of texts as described in Section 6.1 below, or of emails by using the unsubscribe link. You may revoke consent by any reasonable means, and HPN will honor it within the time required by law. Opting out of HPN messages does not opt you out of messages from a Member you have already engaged; contact that Member directly.

Your number. You confirm the number you provide is yours or that you are authorized to consent for it. Tell us promptly if you give up that number.

Members' own outreach. Members are solely responsible for their own calls, texts, emails, and call recordings, and for complying with the TCPA, the Telemarketing Sales Rule, do-not-call rules, CAN-SPAM, and state telemarketing and recording laws.

6.1 SMS Terms

Program. [HPN Notifications] sends text messages to Homeowners and Members who opt in. HPN's own texts are notifications, and most conversations with HPN happen in the [HPN app]. Homeowners may also receive texts from their matched Member about their project, as described below.

What you will receive.

• Homeowners: confirmation of your Service Request, match and re-match status, and alerts that a Member has responded or a new message or update is waiting for you in the [HPN app]. You may also receive notifications and messages from your matched Member about your project.

• Members: alerts for new Leads and Member Referrals, response-time reminders, and account, billing, and Membership notices, each pointing you to the [HPN app] or member portal.

Texts from your Member. By submitting a Service Request and checking the SMS consent box, you agree that your matched Member, and any alternate Member if you are re-matched, may text you about your project. These texts may include scheduling, estimates, appointment reminders, job updates, and replies to your questions. [These texts are sent through HPN's platform / sent directly by the Member.] Members may text you only about your project and may not send unrelated marketing without your separate consent. To stop texts from a Member, reply STOP to that Member's message or contact the Member. [Confirm whether replying STOP to an HPN text also stops Member texts.]

How you opt in. Homeowners opt in by checking the SMS consent box when submitting a Service Request; that consent covers texts from HPN and from the matched Member about the project. Members opt in by enabling text notifications in account settings. Consent to texts is not a condition of using the Site or buying any goods or services.

Frequency and cost. Message frequency varies based on your request or account activity. Message and data rates may apply.

Stop and help. Reply STOP to any message to stop all texts from [HPN Notifications]. You will receive one confirmation text and no further texts unless you opt in again, for example by replying START. Reply HELP for help, or contact [support email] or [phone].

Do not reply with project details. HPN's notification texts may come from a number that does not accept or monitor replies other than STOP and HELP. Use the [HPN app] to communicate with HPN, and the app or your Member's own messages to communicate with your Member. Never send payment card numbers, passwords, or other sensitive information by text.

If you stop texts. Notifications continue in the [HPN app], and you can control app push notifications in your device settings. Turning off texts may cause you to miss time-sensitive updates; Members remain responsible for meeting response commitments under Section 7.3.

Delivery. Wireless carriers are not liable for delayed or undelivered messages. HPN does not guarantee delivery of any text.

Your mobile information. HPN does not sell, rent, or share mobile phone numbers or SMS opt-in data and consent with third parties or affiliates for their own marketing purposes. Your number may be shared only with service providers that deliver messages on HPN's behalf, and, for Homeowners, with your matched Member as described in Section 12. See our Privacy Policy.

7. Member Terms

7.1 Application and acceptance. Membership is by application and, where required, referral from an existing Member. HPN decides acceptance at its sole discretion and may decline any applicant without giving a reason. Applicants authorize HPN to verify licensing, insurance, reviews, complaint history, and [background check] information, and to obtain consumer or business reports where permitted by law. [If background checks on individuals are run, FCRA disclosure and authorization must be collected separately.]

7.2 One Member per Trade per Market. HPN intends to offer one Membership per Trade in each Market. Exclusivity applies only to HPN's own referral of Homeowner Service Requests and Member Referrals in that Trade and Market. It does not restrict Homeowners, other Members, or anyone outside HPN from working with your competitors. Market boundaries, Trade definitions, and any exclusivity terms are set in your Membership Agreement.

7.3 Ongoing obligations. While a Member, you must:

1. hold and maintain every license, registration, bond, and permit required for your Trade in your Market;

2. carry general liability, workers' compensation, and other insurance at the levels in the HPN Standard [state minimums], and provide certificates on request;

3. meet the HPN Standard and honor the HPN Promise, including the response time in Section 5;

4. give Homeowners written scope and pricing before work begins and comply with all home improvement, consumer protection, contractor licensing, and cancellation-right laws;

5. notify HPN within [10] days of any lapse in license or insurance, any lawsuit or regulatory action related to your work, or any change of ownership; and

6. cooperate in good faith with HPN when it helps resolve a Homeowner complaint.

7.4 Leads and Member Referrals. Leads and Member Referrals are opportunities, not guaranteed jobs. HPN does not guarantee any volume, quality, or conversion of Leads. You may use Lead information only to respond to and serve that Homeowner's request. You may not sell, share, or transfer Leads, or add Homeowners to unrelated marketing without their consent.

7.5 Badge and profile. HPN grants Members a limited, revocable, non-transferable license to display the Badge and HPN name on their own website and marketing while their Membership is active and in good standing. You may not alter the Badge or imply HPN guarantees your work. You must remove the Badge and all HPN references within [7] days after your Membership ends. HPN may display your business name, logo, licensing details, reviews, and project content on your HPN profile page, and you confirm you have the rights to the content you provide.

7.6 Suspension and removal. HPN may warn, suspend, or end a Membership, and offer the Trade to another contractor, if you breach these Terms or your Membership Agreement, fall below the HPN Standard, receive repeated or serious unresolved complaints, miss response commitments, or harm HPN's reputation or the network. Where practical, HPN will give notice and a chance to cure. You may appeal in writing to [legal email] within 30 days, and HPN will respond within 30 days.

7.7 Independent contractor. Nothing in these Terms creates an employment, agency, franchise, joint venture, or partnership relationship between HPN and any Member. Neither may bind the other.

8. Member Fees and Payment

8.1 Fees. Members pay the membership fees, lead fees, and other charges in their Membership Agreement and on HPN's Pricing and Lead fees pages as in effect when the charge is incurred. HPN may change fees on at least [30] days' notice; changes apply from your next billing period.

8.2 Lead fee disputes. You may dispute a Lead fee within [7] days of delivery if the Lead is a duplicate, has invalid contact information, is outside your Market or Trade, or is not a genuine request. HPN decides disputes in good faith and, if approved, issues a credit. Approved credits are your only remedy for an invalid Lead. [Confirm criteria match the Lead fees page.]

8.3 Referral credits and Network Offers. Referral credits and Network Offers are promotional programs governed by the rules on their pages ( Referral credits, Network Offers ). Credits have no cash value, cannot be transferred, and expire as stated in those rules or when your Membership ends. HPN may change or end these programs on notice. Members are responsible for complying with any state law on referral fees or contractor advertising that applies to them.

8.4 Payment method. You must keep a valid credit card or bank account on file and authorize HPN to charge it on the schedule in your Membership Agreement, including recurring ACH debits. You may revoke ACH authorization by written notice with a valid replacement payment method.

8.5 Late payment. Amounts not paid within 30 days of their due date incur a one-time late fee of 5% of the overdue amount and interest of 1.5% per month or the maximum lawful rate, whichever is less. HPN may suspend Lead delivery, your profile, and the Badge while an account is past due, and may end the Membership if it remains unpaid.

8.6 Refunds. Except for approved Lead credits under Section 8.2, all fees are non-refundable, including for partial periods and unused Leads.

8.7 Cancellation. You may cancel by written notice to [billing email] before the end of your current term. You keep access through the end of that term and will not be billed for the next one. Cancelling releases your Trade in your Market, which HPN may offer to another contractor.

8.8 Taxes. Fees exclude taxes. Members pay all applicable sales, use, and similar taxes, other than taxes on HPN's income.

9. Reviews and User Content

Honest reviews. Reviews must reflect your own genuine experience with the Member. You may not post a review for your own business, a business you are affiliated with, or a competitor, or post a review in exchange for payment or anything of value unless that is clearly disclosed.

Member conduct. Members may not write, buy, or arrange fake reviews; offer incentives conditioned on positive reviews; pressure or threaten Homeowners over reviews; or ask HPN to remove truthful negative reviews. These practices may violate the FTC's rule on consumer reviews and testimonials (16 CFR Part 465) and are grounds for removal under Section 7.6.

Moderation. HPN does not pre-screen all User Content. HPN may refuse, edit for formatting, or remove content that violates these Terms or the law, such as content that is fraudulent, defamatory, harassing, discriminatory, or contains personal information about others. HPN will not remove or suppress a review solely because it is negative. [Publish a short review moderation policy and link it here.]

Your license to HPN. You keep ownership of your User Content. You grant HPN a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, display, reproduce, adapt, and distribute it in connection with the Site, the network, and HPN's marketing, including showing reviews on a Member's profile and Badge. This license continues for content already published after you stop using the Site, unless you ask us to remove it and the law requires removal.

Your promises. You confirm you have the rights to post your User Content, including permission from anyone shown in photos and from the property owner for images of a home, and that it does not infringe anyone's rights.

10. Acceptable Use

You will not, and will not help anyone else:

1. submit false, fraudulent, or test Service Requests, or requests using another person's contact details without permission;

2. scrape, crawl, or use automated means to collect data, Member listings, or Leads from the Site;

3. circumvent access controls, rate limits, or security measures, or access accounts or data that are not yours;

4. reverse engineer the Site or HPN's matching systems;

5. upload malicious code or interfere with the Site's operation;

6. use the Site or Lead data to build a competing directory or referral service;

7. impersonate any person or business, or misstate your licensing, insurance, or affiliation with HPN;

8. harass, threaten, or discriminate against any Homeowner, Member, or HPN staff, including on the basis of any protected characteristic; or

9. use the Site in violation of any law, including consumer protection, telemarketing, and contractor licensing laws.

HPN may investigate suspected violations and may remove content, suspend or close accounts, end Memberships, and pursue any other legal remedy.

11. Intellectual Property

The Site, its design, text, graphics, software, matching systems, the Home Professional Network name, the HPN logo, the Badge, and "The HPN Promise" are owned by PredictiveSales AI, LLC or its licensors and protected by intellectual property laws. Except for the Badge license in Section 7.5, these Terms grant you no right to use them. You may view and print Site pages for your personal, non-commercial use.

Feedback. If you send HPN suggestions or ideas, HPN may use them without restriction or payment to you.

Copyright complaints. If you believe content on the Site infringes your copyright, send a notice to our designated agent at [DMCA agent name, address, email] with the information required by 17 U.S.C. § 512(c)(3). HPN may remove content and end the accounts of repeat infringers. [Register a DMCA agent with the U.S. Copyright Office to qualify for safe-harbor protection.]

12. Privacy and Third-Party Sites

Privacy. Our Privacy Policy explains how we collect, use, and share personal information. By submitting a Service Request, you understand that HPN shares your name, contact details, address, and project details with the Member matched to your request, and with an alternate Member if you are re-matched.

Members as recipients. Once a Member receives your information, that Member's own privacy practices govern its use. Members must use Homeowner information only for the Homeowner's request, protect it with reasonable security, and comply with applicable privacy laws.

Third-party sites and services. The Site may link to Member websites and third-party services. HPN does not control and is not responsible for their content, privacy practices, or availability. Your use of them is at your own risk and under their terms.

13. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HPN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting that, HPN does not warrant or guarantee:

. the work, products, pricing, schedule, licensing, insurance, conduct, or financial stability of any Member;

. that a Member will be available in your Trade or area, or will respond within any stated time;

. the accuracy of Member profiles, reviews, or other User Content; or

. that the Site will be uninterrupted, secure, or error-free.

Some states do not allow the exclusion of certain implied warranties, so some of these exclusions may not apply to you.

14. Limitation of Liability and Indemnification

14.1 No liability for Member work. HPN is not liable for any loss, injury, property damage, or dispute arising from work a Member performs or fails to perform, or from any dealings between a Homeowner and a Member.

14.2 Excluded damages. TO THE FULLEST EXTENT PERMITTED BY LAW, HPN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

14.3 Cap. HPN'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) FOR MEMBERS, THE FEES THE MEMBER PAID HPN IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14.4 Exceptions. These limits do not apply where the law does not allow them, including, in some states, for gross negligence, willful misconduct, or personal injury caused by HPN.

14.5 Member indemnity. Each Member will defend, indemnify, and hold harmless HPN, PredictiveSales AI, LLC, and their officers, employees, and agents from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from: (a) the Member's work, products, or services; (b) the Member's dealings with any Homeowner; (c) the Member's calls, texts, emails, or recordings; (d) the Member's User Content or reviews practices; or (e) the Member's breach of these Terms or the law.

14.6 User indemnity. Each other User will indemnify HPN against third-party claims arising from that User's breach of these Terms, misuse of the Site, or User Content, to the extent permitted by law.

15. Dispute Resolution and Arbitration

15.1 Informal resolution first. Before filing any claim, you agree to send a written notice describing the dispute to [legal email] and to try in good faith to resolve it for 30 days.

15.2 Binding arbitration. Any dispute between you and HPN that is not resolved informally will be decided by binding individual arbitration administered by the American Arbitration Association, under its Consumer Arbitration Rules for Homeowners and its Commercial Arbitration Rules for Members. The Federal Arbitration Act governs this Section. For Homeowners, the hearing will take place in the county where you live or by video, and HPN will pay arbitration fees beyond what you would pay to file in court.

15.3 Exceptions. Either party may bring an individual claim in small claims court, or seek an injunction in court to stop misuse of intellectual property or unauthorized access to the Site.

15.4 Class action and jury waiver. YOU AND HPN MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND HPN WAIVE ANY RIGHT TO A JURY TRIAL.

15.5 Opt-out. Homeowners may opt out of this arbitration agreement by emailing [legal email] within 30 days after first accepting these Terms, stating their name, address, and that they opt out.

15.6 Disputes with Members. This Section covers disputes with HPN only. Disputes between a Homeowner and a Member are governed by their own contract and the law; HPN is not a party to them.

15.7 Governing law and venue. Florida law governs these Terms, without regard to conflict-of-law rules, except where the law of your state of residence must apply. Any court proceeding allowed under these Terms will be brought in the state or federal courts in Palm Beach County, Florida, except small claims cases.

16. Changes, Termination, and General Terms

Changes to these Terms. HPN may update these Terms by posting a new version with a new "Last Updated" date. For material changes, HPN will give Members at least [30] days' notice by email and will notify registered users. Continued use after the effective date means you accept the change. Changes do not apply to disputes already noticed under Section 15.1.

Changes to the Site. HPN may change, add, or discontinue any feature, Trade, Market, or program.

Termination. You may stop using the Site at any time. HPN may suspend or end your access for any breach of these Terms. Sections 3, 7.5 (Badge removal), 8 (amounts owed), 9 (license), and 11 through 16 survive termination.

Assignment. You may not assign these Terms without HPN's written consent. HPN may assign them in a merger, acquisition, reorganization, or sale of assets.

Force majeure. HPN is not liable for delays or failures caused by events beyond its reasonable control.

Entire agreement. These Terms, the Privacy Policy, and for Members the Membership Agreement, are the entire agreement on their subject. If any provision is unenforceable, the rest remains in effect. HPN's failure to enforce a provision is not a waiver.

Electronic communications. You agree to receive notices electronically and consent to electronic signatures and records under the E-SIGN Act and UETA. Notices to you go to the email on file; notices to HPN go to [legal email].

Reviewer Notes (remove before publishing)

Privacy policy gaps

. Sharing statement conflicts with the business. It says HPN will not sell, share, trade, or give away information. It must disclose sharing with matched and alternate Members, PSAI as operator, and service providers.

. Written for an online store. It refers to shopping carts, shipping addresses, products, and contests. It should describe what the form actually collects: name, email, mobile number, street address, trade, and project details.

. Parent company data use. PSAI's terms allow it to use contact data to train and improve its models. If HPN data flows through the PSAI platform, the policy should say so.

. SMS carrier requirement. Add that mobile numbers and SMS opt-in data are not shared with third parties for their own marketing.

. State privacy laws. A growing number of state laws are in effect, including Indiana's as of January 1, 2026. The rights section needs specific categories, purposes, retention periods, a request method, and an opt-out for targeted advertising if ad pixels are used.

. Missing basics. No effective date and no contact method, although it tells users to "contact us."
